A completed research asset acquisition

Hades Labs has completed the acquisition of BiomaAI, a Bangladesh-based computational biotechnology company, through a transaction covering its proprietary technology, applicable biomedical research data rights, algorithms and intellectual property. The transaction has legally closed and the acquired assets have been transferred. Financial terms have not been disclosed.

The acquisition concerns research assets. BiomaAI’s employees and research team are not joining Hades Labs, and the transaction does not involve the integration of two operational teams. BiomaAI will cease operating independently, and its brand will be retired from active operations. Its scientific contributions and research legacy will continue to be acknowledged in relevant future publications.

Medical imaging AI technology

A principal component of the acquisition is BiomaAI’s medical imaging AI technology. BiomaAI has developed working research prototypes that use computer vision approaches to identify patterns and abnormalities in medical images. These experimental systems bring together proprietary algorithms and computational methods for interpreting complex imaging information.

The acquired work provides a foundation for continued experimentation in biomedical computer vision, model development and computational diagnostic research. Hades Labs will examine how the prototypes represent imaging information, how their outputs can be evaluated and where further development is required. The immediate research priority is to understand and improve the systems within a controlled development environment.

The prototypes are research assets rather than commercially available diagnostic products. Their acquisition does not establish clinical accuracy, proven diagnostic performance or regulatory approval. Further experimentation and evaluation will be necessary before any conclusions can be drawn about suitability for a clinical application. The laboratory’s work will retain a clear distinction between an experimental result and evidence sufficient to support a diagnostic claim.

Biomedical research data and applicable rights

BiomaAI’s biomedical research data portfolio and associated rights form an equally significant part of the transaction. The portfolio includes medical imaging research material spanning different modalities, anatomical regions and medical conditions. This diversity provides material for investigating how computational methods behave across different kinds of biomedical information.

The acquired assets include labelled imaging datasets with expert annotations and structured labels intended to support model training, evaluation and medical image interpretation research. Longitudinal research data captures changes in patient conditions over time, creating opportunities to examine disease progression and temporal patterns. Structured clinical and biological research information extends the portfolio beyond images alone.

The transaction transfers the applicable rights that BiomaAI held and could transfer, including exclusive rights relating to relevant research assets. Ownership of an asset, a licence to use it and permission for a particular research purpose remain distinct. The acquisition does not confer unrestricted access to identifiable patient information or remove existing limitations on use.

Hades Labs will manage the portfolio subject to applicable privacy, consent, licensing and data governance requirements. Its research value lies in the diversity and structure of the material, the annotations, the longitudinal information and the rights attached to individual assets. Integration will require attention to those conditions alongside the technical organisation of the data.

Additional research and intellectual property

BiomaAI’s broader research activities include computational diagnostics, specialised biomedical AI models and experimental computational methodologies. Earlier-stage work also includes in-silico therapeutic research examining drug interactions, biological responses to therapeutic compounds and potential treatment outcomes through computational modelling.

BioSim Engine, an early-stage initiative exploring models of biological and physiological processes, is among these research directions. It remains under research and development. These activities should be distinguished from BiomaAI’s working medical imaging prototypes; they are not completed or validated platforms. Their future development will be considered within the laboratory’s research priorities.

Integration into Hades Labs

Hades Labs will consolidate the acquired technologies and research assets into a unified computational biotechnology research programme. Medical AI will be the primary scientific priority, encompassing medical imaging, biomedical computer vision, specialised medical models, computational diagnostic research and methods for evaluating experimental systems.

The immediate organisational priority is computational research infrastructure. The laboratory intends to develop computing capacity for biomedical experimentation, research data management and governance systems, model development and evaluation environments, and dependable computational workflows. These foundations will also support the assessment of future simulation research.

The acquisition is a deliberate investment in research infrastructure and intellectual property. Bringing algorithms, data rights and experimental systems under the laboratory’s direction strengthens its ability to plan sustained research and reduces dependence on externally controlled assets where feasible. Hades Labs does not intend to commercialise the acquired technologies immediately.

A statement from the founder

“I see this acquisition as a long-term bet on Zawad’s vision and the work he started as BiomaAI’s founder and CEO. Young people with serious scientific ambitions need others willing to back them early. At Hades Labs, we can give those research foundations the time, resources and careful attention they need to develop.”

— Muhammad Zayed, Founder, Hades Labs

The laboratory’s research direction

Hades Labs is an internationally oriented biotechnology research laboratory led by young researchers. Its work centres on proprietary internal programmes, long-term technology development and the scientific infrastructure needed to support them. Academic collaborations will be pursued selectively around defined questions, with agreed arrangements for confidentiality, data access, intellectual property and any resulting publication.

Public disclosure will remain limited and considered individually. The acquisition carries no commitment to open-source releases, public datasets, publication on a fixed schedule or a commercial product launch. Its significance lies in the complementary medical AI technology and biomedical data assets now available to the laboratory: a stronger proprietary foundation for continued computational biotechnology research.
